Axum Pairs with NBA Star Wembanyama in BARCODE Deal. Axum Capital Partners agreed to acquire a controlling interest in BARCODE, a performance hydration brand, in partnership with NBA player Victor Wembanyama, who will remain a shareholder and strategic partner. BARCODE produces plant-based performance water with functional ingredients and no added sugar, and Axum intends to support the brand’s next phase of growth in the health and wellness beverage market.

Wynnchurch Takes Luxfer Private for $463 Million. Wynnchurch Capital agreed to acquire Luxfer Holdings in an all-cash take-private transaction valued at approximately $463 million. Luxfer manufactures high-performance materials, engineered components, and high-pressure gas containment products used across industrial, healthcare, defense and transportation markets.

THL Invests in PaveMasters. THL Partners made a majority investment in PaveMasters, a provider of pavement maintenance and infrastructure services. PaveMasters offers asphalt paving, repair, sealcoating, and related maintenance solutions.

Ridgemont Equity Acquires ENTACT. Ridgemont Equity Partners acquired ENTACT, a provider environmental restoration, remediation, and geotechnical solutions, according to a recent announcement. The company serves both private- and public-sector customers across the environmental, power, and infrastructure spaces.

Sheridan Capital Acquires Carolina Components. Sheridan Capital Partners completed its acquisition of Carolina Components Group (CCG), the firm announced this week. The company provides custom-engineered bioprocessing assemblies and components for biopharmaceutical manufacturers.

The Riverside Company’s Decara Adds OnViv. Decera Clinical, a clinical trial biometrics and data services platform backed by The Riverside Company, invested in OnViv, a recent announcement said. OnViv provides clinical trial data management and programming services, and the partnership expands Decera’s capabilities supporting biopharmaceutical and medical device companies.

Branford Castle’s Lafayette Instrument Acquires Avisoft. Lafayette Instrument, a provider of scientific research equipment backed by Branford Castle Partners, acquired Avisoft Bioacoustics. Avisoft develops hardware and software used to record and analyze animal vocalizations and bioacoustic data, expanding Lafayette’s portfolio of tools serving neuroscience and behavioral research markets.

Riata’s COEO Adds NetWolves. Riata Capital Group-backed COEO Solutions has acquired NetWolves, a provider of managed network, SD-WAN, wireless and connectivity services. COEO delivers managed IT and communications services to middle-market businesses. The acquisition broadens its networking and connectivity capabilities for enterprise customers.

TSCP’s ATIS Acquires Buckley Belcher. ATIS, a provider of elevator and escalator inspection and managed services, and a portfolio company of Thompson Street Capital Partners, acquired Buckley Belcher & Company. Buckley Belcher provides elevator consulting and managed services to building owners and property managers.

Vertisas Merges Steampunk with MetroStar. Veritas Capital agreed to acquire Steampunk and merge it with portfolio company MetroStar Systems, according to a recent announcement. Both companies provide AI-enabled digital transformation and technology services to U.S. government agencies. The combined business will serve defense, intelligence, and civilian agency customers.

H.I.G. Exits JT Thorpe to Truelink. Truelink Capital signed a definitive agreement to acquire JT Thorpe Group from H.I.G. Capital, a recent press release said. JT Thorpe provides mission-critical industrial maintenance, thermal management, refractory, insulation, fireproofing, and asset integrity services to customers in power generation, semiconductor, LNG, mining, steel, cement, and other infrastructure markets.

Gryphon Exits Jensen Hughes to New Mountain. New Mountain Capital entered into a definitive agreement to acquire Jensen Hughes from Gryphon Investors. Jensen Hughes provides fire protection engineering, nuclear risk engineering, and related safety consulting services, serving facility owners, architects, engineers and nuclear utilities.

Thoma Bravo Exits Command Alkon Stake to Francisco Partners. Francisco Partners agreed to acquire a majority stake in Command Alkon from Thoma Bravo. Existing investor Heidelberg Materials will retain a significant minority stake. Command Alkon provides operations and logistics software for heavy building materials producers.
